Please read the Terms carefully before using the Service.

  1. ABOUT US, THE PLATFORM AND THESE TERMS

    1. The Turnstile Platform. app.turnstilegroup.com is an online portal that uses a methodology to provide a holistic valuation of sponsorship in the Sport and Entertainment industry by allowing buyers and sellers to have access to the following valuations for sponsorship deals:

    2. Exposure valuation, which considers brand exposure valued on its ability to impact customer recall and consideration;

      1. Intellectual property valuation, which puts a price on intellectual property based on customer equity and the true number of engaged fans; and

      2. Benefits valuation, which considers real-world pricing of contracted benefits available on the open market,

      (each a “Service” and together the “Services”).

    3. Our details. The Platform is operated by Turnstile Group Limited (“we” “us”). We are a company registered in England and Wales under company number 12094407. Our registered office address is 49 Greek Street, London, United Kingdom, W1D 4EG.

    5. Who these Terms of Use apply to. These Terms of Use cover the use of our Platform by our authorised users (each an “Authorised User”). Our Authorised Users are employees, representatives, agents or contractors, who received access to our Platform from one of our clients, to use the Platform on behalf of such client and in connection with such client’s business. By using the Platform, you confirm that you accept these Terms of Use and that you agree to comply with them. If you do not agree to these Terms of Use, you must not use the Platform.

    6. We may make changes. We amend these Terms of Use from time to time, so please check them occasionally. For example, we may change them to reflect changes in relevant laws and regulations. We may also update and change the Platform from time to time to upgrade or modify its functionality and/or to address our Authorised Users’ needs. We will notify you of any significant changes and/or any changes that require any action from you. If you do not agree to such changes, you should stop using the Platform.

  2. REGISTRATION AND ACCOUNT SECURITY

    1. Creating and activating your account. Before you start using the Platform, we will need you to complete registration and/or activate your account. Some of the information (such as your name and email address) has already been provided to us by the organisation that granted you access to our Platform, but we may need some further details from you to complete your registration. You may at any time request the deletion of your account on the Platform.

    2. Account security. If you are provided with, or set up your own password or any other piece of information as part of our security procedures during your registration, please ensure that you treat such information as confidential. If you choose your own password, we recommend that you use a combination of letters, uppercase and lowercase, numbers and symbols; this will make it difficult for someone else to use your account. Please do not share this information with anyone. Your account is personal to you and you should not allow anyone else to access your account on the Platform. For this reason, we recommend that you always log-off your account when you access the Platform from a shared device. If you know or suspect that anyone other than you know your login details, you should contact us as soon as possible. We may temporarily or permanently disable your login information if we suspect it is being used by someone else. We may also require you to change your password for security reasons.

  3. USE OF THE PLATFORM

    1. Duration. Your right to use the Platform will be granted for a period of time corresponding with the duration of the subscription purchased by the organisation that granted you access to our Platform, or for such shorter period of time as such organisation may determine, for example if your role changes or you no longer work for such organisation.

    2. Platform availability. We cannot guarantee that the Platform, or any content or Services on it, will always be available or be uninterrupted. This is because the Platform is provided via the internet and interruptions, delays and other technical problems are an inherent part of the provision of services via the internet. We may need to suspend, withdraw or restrict the availability of all or any part of the Platform, for example for security, maintenance or operational reasons. We will try to give you notice if the Platform is not going to be available for an extended period of time.

    3. Prohibited uses. You must not:

      1. use the Platform in any way that breaches any applicable local, national or international law or regulation;

      2. use the Platform in any way to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);

      3. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Platform in any form or media or by any means;

      4. attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Platform;

      5. access to all or any part of the Platform to extract ideas, algorithms, procedures, workflows or hierarchies or otherwise use the Platform in order to build a product or service which competes with the Platform or to assist someone else to build a product a service which competes with the Platform;

      6. license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Platform (or any content on the Platform) available to any third party;

      7. attempt to obtain, or assist third parties in obtaining, access to the Platform other than as provided under these Terms of Use;

      8. use the Platform in any way for the purpose of harming or attempting to harm minors or vulnerable persons in any way;

      9. translate, modify, adapt, enhance, decompile, disassemble or reverse engineer the Platform and/or the underlying software or otherwise determine or attempt to determine source code or protocols from the executable code of the software;

      10. access, store, distribute or transmit any viruses, or any material during the course of your use of the Platform that:

        • is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;

        • facilitates illegal activity;

        • depicts sexually explicit images;

        • promotes violence;

        • is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or

        • is otherwise illegal or causes damage or injury to any person or property;

        and we reserve the right, without liability or prejudice to our other rights, to disable your access to any use that breaches the provisions of this clause. For the purposes of these Terms of Use, "viruses” means any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.

      11. Uploading data and other content. Whenever you upload any data and/or other content (“Content”), you must comply with the following content standards:

        your Content must not:

        • promote sexually explicit material;

        • promote violence;

        • promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

        • infringe any rights of any person, including any copyright, database right or trade mark of any person;

        • breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

        • promote any illegal activity;

        • be in contempt of court;

        • advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse; and/or

        • contain any advertising or promote any services or web links to other sites.

      12. Removal of data. We have the right to remove any Content you upload on the Platform if, in our opinion, such content does not comply with the content standards set out in these Terms of Use.

      13. Consequences of a failure to comply. If you fail to comply with this clause 3 we may take all or any of the following actions:

        1. immediate, temporary or permanent withdrawal of your right to use the Platform;

        2. immediate, temporary or permanent removal of any Content uploaded by you to the Platform

        3. issue of a warning;

        4. take a legal action against you; and/or

        5. disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

    4. We exclude our liability for all action we may take in response to breaches of this clause 3. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.

  4. INTELLECTUAL PROPERTY AND LICENCE TO USE

    1. We are the owner (or the licensee) of all intellectual property rights in the Platform and in the material published on it (including any reports generated by the Platform). Those works are protected by copyright laws and treaties around the world. All such rights are reserved. Except as expressly stated herein, these Terms of Use do not grant you any rights to, under or in, any patents, copyright, database right, trade secrets, trade names, trade marks (whether registered or unregistered), or any other rights or licences in respect of the Platform.

    2. Any material available on the Platform (other than Content submitted by you, if any) is subject to the following rules:

      • you may print off one copy, and may download extracts, of any page(s) from the Platform for use strictly in connection with your work for the organisation that granted you access to our Platform, and you may draw the attention of others within such organisation to any material made available on the Platform;

      • you do not modify any paper or digital copies of any materials you have printed off or downloaded in any way, and do not use any illustrations, photographs, video or audio separately from any accompanying text; and

      • you do not imply any sponsorship or association with us without first obtaining our approval in writing.

    3. If you print off, copy or download any part of the Platform in breach of these Terms of Use, we may suspend or terminate your right to use the Platform and may require you to return or destroy any copies of the materials you have made.

    4. You are not permitted to use our trade marks and trade names without our approval, unless they are part of the material you are using as permitted under the other provisions of these Terms of Use.

    5. You may link to our home page, but only in a way that is fair and legal and does not damage our reputation or take advantage of it. Please do not frame the Platform on any other site and do not establish a link to the Platform on any website.

    6. Please do not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

    7. Where the Platform contains links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.

  5. DATA PROTECTION

    Our Privacy Policy provides information on what personal data we collect, how we process it and other important data protection terms, including your rights in respect of your personal data.

  6. LIABILITY

    1. Liability that cannot be excluded or limited. Nothing in these Terms of Use limits or excludes our liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation or if it would be unlawful for us to exclude or limit our liability.

    2. Our role is limited. Our role is limited to providing the Platform as a method of delivering our Services. We assume no responsibility (and disclose all liability, subject to clause 6.1 above) for results obtained from the use of the Platform by the Authorised Users, and for conclusions drawn from such use. Further, we make no express or implied representations or warranties with respect to our Services and we guarantee no particular outcome or result. We do not provide legal advice and do not represent or guarantee that any suggested course of conduct, strategy or action conforms to any applicable law or regulation.

    3. Implied terms are excluded. Our Services and our Platform are provided to Authorised Users on an “as is” basis and all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are excluded to the fullest extent permitted by applicable law.

    4. Excluded losses. Subject to clause 6.1 above, we will not be liable, whether in tort (including for negligence or breach of statutory duty), contract, misrepresentation, restitution or otherwise for any: (i) loss of profits; (ii) loss of business; (ii) depletion of goodwill and/or similar losses; or (iii) loss or corruption of data or information; (iv) or pure economic loss; or (v) for any special, indirect or consequential loss, costs, damages, charges or expenses however arising in connection with our Services and/or the use of our Platform.

    5. Our liability is limited. Our total aggregate liability to any Authorised User, whether in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising under these Terms of Use and/or in connection with our Services and/or the use of our Platform by such Authorised User shall in no event exceed £1,000.

  7. OTHER IMPORTANT TERMS

    1. We may transfer our rights and obligations under these Terms of Use to another organisation, for example, if our business is transferred or merged with another company.

    2. These Terms of Use contain the terms of a legally binding agreement between you and us. No other person shall have any rights to enforce any of these Terms of Use.

    3. Each of the paragraphs of these Terms of Use operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

    4. This agreement between you and us, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales and be subject to the jurisdiction of the English courts.
